The agreement that governs your membership and use of Pulse Lounge.
Please Read Carefully. These Terms of Service constitute a legally binding agreement between you and Pulse Lounge Memphis. By applying for membership, accessing our platform, or attending our events, you agree to be bound by these terms. If you do not agree, do not use our services.
These Terms of Service ("Terms") are entered into by and between Pulse Lounge Memphis ("Company," "we," "us," or "our") and you ("Member," "Applicant," or "you"). These Terms govern your access to and use of our website, membership program, digital platform, and in-person events (collectively, "Services").
By clicking "Apply," "Join & Pay," "Submit Application," or any similar button, or by attending any Pulse Lounge event, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
These Terms may be updated from time to time. We will notify you of material changes via email and by posting the updated Terms on our website. Your continued use of our Services after such notification constitutes acceptance of the updated Terms.
To become a member of and participate in Pulse Lounge, you must:
Misrepresentation of your age or identity is grounds for immediate and permanent membership termination, forfeiture of all fees paid, and may be referred to law enforcement.
Membership to Pulse Lounge is private, by application only, and subject to administrative approval. Membership tiers are as follows:
Membership grants access to approved events and, upon full platform launch, the members-only digital community. Membership does not guarantee entry to any specific event, which may have capacity limits, ratio requirements, or other admission criteria disclosed in advance.
Memberships are non-transferable. You may not share, sell, or gift your membership to another person.
We reserve the right to decline any membership application for any reason or no reason, at our sole discretion.
All fees are processed securely through Stripe, Inc. We accept all major credit and debit cards. By submitting payment, you authorize us to charge the applicable membership fee to your provided payment method.
Refund Policy:
In the event of a billing error, contact us within 30 days and we will investigate and resolve the matter promptly. Disputed charges must be brought to us before initiating a chargeback with your card issuer.
"The room is only as safe as the people in it." Every member shares responsibility for maintaining Pulse Lounge as a safe, respectful, and discreet space.

Violation of the Code of Conduct may result in immediate removal from events, temporary suspension, or permanent membership termination, at our sole discretion.
Consent is absolute and non-negotiable at Pulse Lounge. Any violation of consent standards constitutes grounds for immediate permanent termination and may be reported to law enforcement.

Consent violations will result in immediate and permanent membership termination. Depending on the severity, we will report the incident to appropriate authorities. We cooperate fully with law enforcement investigations.

We reserve the right to remove any content that violates these rules and to suspend or terminate accounts engaged in violations, without prior notice.
Photography, videography, audio recording, and screenshotting of any kind are strictly prohibited in all Pulse Lounge member spaces and at all private events. This policy exists to protect the privacy and safety of every member.
By attending events, you consent to the possibility that limited, anonymous photography may be taken by official Pulse Lounge staff for promotional purposes only — in designated areas and with applicable consent obtained.
We reserve the right to suspend or terminate any membership, with or without notice, for:
Upon termination for cause, you forfeit all membership fees paid and are permanently banned from all Pulse Lounge events and platforms. Terminated members may not re-apply.
You may voluntarily terminate your membership at any time by contacting us. Voluntary termination does not entitle you to a refund of membership fees already paid except as described in our Refund Policy.
All content on the Pulse Lounge website and digital platform — including the pineapple logo, graphic design, text, photographs, and software — is the property of Pulse Lounge Memphis and protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. Members retain ownership of content they post to the platform but grant us a limited license to display and distribute that content within our platform.
Our Services are provided "as is" without warranty of any kind. To the fullest extent permitted by law:

You agree to indemnify, defend, and hold harmless Pulse Lounge Memphis, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
We encourage you to contact us first to resolve any disputes informally. Most concerns can be addressed quickly and satisfactorily through direct communication.
For disputes that cannot be resolved informally, both parties agree to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than litigation in court. You waive your right to a jury trial and to participate in class action lawsuits.
The arbitration shall take place in Shelby County, Tennessee. The arbitrator's decision will be final and binding, subject to limited appellate review as permitted by law.
Claims for injunctive relief or to enforce intellectual property rights may be brought in court without arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any legal proceedings arising from these Terms that are not subject to arbitration shall be brought exclusively in the state or federal courts located in Shelby County, Tennessee, and you consent to the personal jurisdiction of those courts.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
These Terms, together with our Privacy Policy and House Rules, constitute the entire agreement between you and Pulse Lounge Memphis regarding our Services.
